Acceptance of Terms

By accessing or using ai-cto.com (the "Website") and our services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AI CTO, operated by Hypeworkz Pte Ltd ("AI CTO," "we," "us," or "our").

Description of Services

AI CTO is a Managed AI as a Service platform for small and medium-sized enterprises (SMEs) in Singapore. Our service catalogue includes:

• Sales Hunter: A fully managed outbound function that identifies high-intent B2B prospects on LinkedIn, monitors buying signals, and sends personalised outreach until the prospect replies. Outreach is handed off to your sales team for closing.
• Pilot Programmes: Fixed-term, fixed-price engagements (currently $700 SGD for a 30-day Sales Hunter pilot) designed to demonstrate the service before committing to a monthly retainer.
• Monthly Retainers: Ongoing managed service engagements scoped after the pilot, typically ranging from $1,000 to $5,000 SGD per month based on outreach volume and complexity.
• CRM (Included): A built-in customer relationship management system included with each managed service, used to track prospects, signals, messages, and conversation handoffs.
• SME AI Brief: A free WhatsApp newsletter delivered Monday, Wednesday, and Friday, digesting AI and tech news relevant to Singapore businesses.

Additional functions and integrations may be added to the catalogue over time and will be governed by these Terms unless separate terms are provided at the point of subscription.

User Eligibility

You must be:

• At least 18 years of age
• Authorised to represent your business or organisation
• A legitimate business entity (not for personal consumer use)
• Acting in good faith and not in breach of any third-party platform terms (including LinkedIn, WhatsApp, and any platforms our services interact with on your behalf)

By using our services, you represent and warrant that you meet these eligibility requirements.

Pilot Programme Terms

Pilot Engagement

The Sales Hunter pilot is a 30-day fixed engagement at $700 SGD. The pilot includes:

• Onboarding consultation to define your ideal customer profile
• Configuration of your Sales Hunter function
• LinkedIn outreach activity for the duration of the pilot
• Use of our included CRM for the pilot period
• Pilot performance summary at the end of the engagement

No Auto-Renewal

The pilot does not automatically convert to a monthly retainer. At the end of the pilot, we will discuss your retainer scope and pricing based on actual usage and outcomes during the pilot. Continuation onto a retainer requires your explicit acceptance.

Refunds

Pilot fees are non-refundable once setup work has commenced. If you wish to cancel before setup begins, please contact us within 48 hours of payment.

Monthly Retainer Terms

Scope and Pricing

Monthly retainer scope and pricing are agreed in writing after the pilot. Retainer pricing typically falls between $1,000 and $5,000 SGD per month based on outreach volume, channels, and complexity.

Billing

• Retainers are billed monthly in advance
• Payment is due upon receipt of invoice
• Failed payments may result in service suspension after 7 days

Cancellation

You may cancel your retainer at any time with 30 days' written notice. Cancellation takes effect at the end of the next full billing period after notice is received. No refunds are issued for partial months.

Price Changes

We may revise retainer pricing with 30 days' notice. Changes apply only at the start of a new billing period.

LinkedIn Outreach Authorisation

Sales Hunter operates on your behalf using your personal LinkedIn account. By engaging Sales Hunter, you:

• Authorise us to access your LinkedIn account for the limited purpose of running outreach campaigns on your behalf
• Provide your LinkedIn credentials through a secure one-time sign-in to our system, with your explicit permission
• Confirm that you are the legitimate owner of the LinkedIn account and have the authority to authorise this access
• Acknowledge that you remain responsible for ensuring your use of LinkedIn through Sales Hunter complies with LinkedIn's Terms of Service
• Understand that you may revoke this authorisation at any time, which will end Sales Hunter activity on your account

We do not store your LinkedIn password in retrievable plain text, do not access your LinkedIn account for purposes outside of agreed outreach activity, and do not share your LinkedIn account access with any third party.

CRM and Prospect Data

When you use Sales Hunter, our included CRM stores data about prospects we identify, contact, and engage on your behalf. This includes:

• Publicly available LinkedIn profile information
• Buying signals (e.g., role changes, hiring activity, public posts) we have identified
• Messages sent and replies received
• Status and notes from our team

For this data, we act as your data processor. You are the data controller. You are responsible for ensuring your use of prospect data complies with applicable data protection laws including the Personal Data Protection Act (PDPA) in Singapore.

You may export or request deletion of your CRM data at the end of your engagement.

SME AI Brief (WhatsApp Newsletter)

Subscribing to the SME AI Brief means you consent to receive WhatsApp messages from us three times per week (Monday, Wednesday, and Friday).

You may unsubscribe at any time by sending UNSUB 2233 via WhatsApp. The opt-out keyword applies only to the newsletter. Service-related messages tied to an active pilot or retainer will continue until that engagement ends.

User Obligations and Acceptable Use

You agree to:

• Provide accurate and truthful information
• Use our services only for lawful business purposes
• Not use Sales Hunter to send unlawful, harassing, deceptive, or abusive messages
• Not target individuals in jurisdictions or industries where our outreach methods would be illegal
• Not share highly sensitive or confidential business information via WhatsApp
• Respect intellectual property rights
• Not attempt to reverse engineer, decompile, or extract our proprietary technology
• Not use automated tools to scrape, harvest, or collect data from our platform
• Not impersonate others or misrepresent your affiliation with any entity
• Not transmit malicious code, viruses, or harmful content

Intellectual Property Rights

Our Intellectual Property

All content, features, functionality, software, and materials on ai-cto.com, including but not limited to:

• Website design, text, graphics, logos
• Catalogue functions including Sales Hunter
• Signal detection methodologies, outreach templates, and operational frameworks
• The included CRM platform
• WhatsApp automation systems

…are owned by Hypeworkz Pte Ltd and protected by Singapore and international intellectual property laws.

Your Data

You retain ownership of the information you provide to us, your prospect data stored in our CRM, and any campaign materials you provide. By using our services, you grant us a limited licence to use, process, and analyse your data solely to deliver the services you have engaged us for, and (in anonymised, aggregated form) to improve our platform.

Service Limitations and Disclaimers

Service Nature

AI CTO provides managed services to operate AI-driven business functions on your behalf. Our services:

• Are provided on a best-effort basis with the goal of delivering the agreed outcomes
• Do not guarantee specific business results, revenue, or response rates
• Depend on the quality of the inputs you provide (ideal customer profile, brand voice, and so on)
• Are not legal, financial, or investment advice

No Warranty

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free service
• Specific outreach acceptance, reply, or conversion rates
• Continuous availability of third-party platforms (LinkedIn, WhatsApp, etc.)

Third-Party Dependencies

Our services depend on third-party platforms and infrastructure, including but not limited to:

• LinkedIn (for Sales Hunter outreach)
• WhatsApp Business API (for messaging)
• Cloud infrastructure (DigitalOcean Kubernetes Service in Singapore)
• Cal.com (for appointment booking)

We are not liable for downtime, policy changes, or service interruptions caused by these third parties.

Limitation of Liability

To the maximum extent permitted by Singapore law:

• Indirect Damages: We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption
• Maximum Liability: Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim (or SGD 100 if you are a free user)
• Third-Party Issues: We are not liable for actions, errors, or service issues arising from third-party platforms including LinkedIn, WhatsApp, or your CRM integrations

Indemnification

You agree to indemnify and hold harmless AI CTO, Hypeworkz Pte Ltd, and our affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party platform terms (including LinkedIn or WhatsApp)
• Your violation of any third-party rights, including data protection rights of prospects
• Information you provide to us

Data Protection and Privacy

Your use of our services is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Term and Termination

Term

These Terms remain in effect while you use our services.

Termination by You

You may terminate your use of our services at any time by:

• Cancelling your retainer in writing with 30 days' notice
• Sending UNSUB 2233 via WhatsApp to unsubscribe from the SME AI Brief
• Contacting hello@ai-cto.com to request account deletion

Termination by Us

We reserve the right to suspend or terminate your access to our services immediately, without notice, if:

• You violate these Terms
• Your use poses security or legal risks
• You engage in fraudulent or abusive behaviour
• Required by law or regulatory authority
• Continued service would breach LinkedIn, WhatsApp, or other third-party platform terms

Effect of Termination

Upon termination:

• Your right to use our services ceases immediately
• Sales Hunter activity on your LinkedIn account stops
• We will provide an export of your CRM data on request, made within 30 days of termination
• We may delete your account and data after that period, subject to legal retention requirements
• Provisions regarding intellectual property, liability limitations, and indemnification survive termination

Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

Dispute Resolution

In the event of any dispute arising from these Terms or our services:

1. Informal Resolution: We encourage you to contact us at hello@ai-cto.com to resolve disputes informally
2. Mediation: If informal resolution fails, parties agree to attempt mediation
3. Jurisdiction: Any legal action must be brought in the courts of Singapore, and you consent to the exclusive jurisdiction of Singapore courts

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon:

• Posting the updated Terms on our website with a new "Last Updated" date
• For material changes affecting active engagements: notification via email

Your continued use of our services after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI CTO regarding use of our services and supersede any prior agreements.
